This module is designed to provide students with the legal framework of how corporations are structured and their place in the modern economy, with a particular focus on governance-related issues. This module aims to enable students to understand the theory and practice of corporate law and governance in international business. Students will develop a comprehensive understanding of the nature of a corporation, corporate governance, the soft and hard law regulating corporate governance, and the rights and duties of shareholders, directors, and officers in a corporation.
